This End User License Agreement (the "Agreement") is between you (the
"Customer", "You") and the vendor identified in §15 (the
"Vendor", "We", "Us") and governs your use of the AtlasEye
software (the "Software"). It should be read together with the Privacy
Policy at /v1/legal/privacy, which describes the personal data the
license server processes and is referenced by §7.
1.1 You accept this Agreement by (a) clicking Accept in the activation
dialog, (b) issuing the activation API call with eula_version_accepted
set to the then-current version, or (c) for air-gapped installations, by
installing a Vendor-issued offline activation payload, which conclusively
records the version accepted. The version accepted and the time of
acceptance are recorded against Your activation on the license server and
are auditable on request. If You do not accept this Agreement, do not
activate the Software.
1.2 If You accept on behalf of an organisation, You represent that You have authority to bind it, and "You" refers to that organisation.
1.3 The Software is offered primarily to businesses, public bodies, and professionals. Consumers may purchase it; where You contract as a consumer, the mandatory consumer-protection rules of your country of residence prevail over any conflicting term of this Agreement, and the consumer-specific provisions of §5.6, §9.4 and §13.2 apply.
"Software" means the AtlasEye software delivered by the Vendor in object-code / container-image form, including the server application, web frontend, syslog collector, on-host agents, updater, and the Documentation.
"Instance" means one installed copy of the Software activated against one licence key.
"Device" means one network-addressable system (a physical or virtual host, network device, or service endpoint) configured as a monitored target in an Instance. Multiple interfaces, containers, or services on the same monitored host count as one Device.
"Documentation" means the Vendor's published user documentation.
"Customer Data" means data ingested, stored, or generated by Your Instance, including monitored-device data, syslog messages, metrics, analytics events, incidents, and the user accounts You create in it.
"Plan" means the subscription tier and its limits (Devices, activations, features, term) stated in your order confirmation or trial grant. The live limits applied to your licence are reported by the license server and inside the product; they evidence, and must correspond to, the limits stated at purchase.
"Order" means your online checkout confirmation, invoice, or a signed order form.
3.1 Grant. Subject to this Agreement and payment of the applicable fees, the Vendor grants You a non-exclusive, non-transferable (except under §14.1), worldwide licence — revocable only as provided in §12 — for the duration of your subscription term, to install, run, and use the number of Instances permitted by your activation limit, for the number of Devices and features included in your Plan. Your employees and individual contractors may operate the Software on your behalf; your Affiliates (entities controlling, controlled by, or under common control with You) may use it under your licence provided You remain responsible for their compliance. Each Instance, including any test or standby installation, requires an activation within your Plan's activation limit unless your Order states otherwise.
3.2 Ownership. The Software is licensed, not sold. The Vendor and its licensors retain all intellectual-property rights in the Software and Documentation. All rights not expressly granted are reserved.
3.3 Customer Data; feedback. As between the parties, You own all Customer Data. The Vendor obtains no rights in Customer Data under this Agreement; the Software processes Customer Data only within your installation (§7.3). If You provide suggestions or feedback about the Software, the Vendor may use them without restriction or obligation, excluding any of your Confidential Information.
3.4 Third-party components. The Software includes third-party and open-source components licensed under their own terms. Those terms govern your use of the respective component and prevail over this Agreement to the extent of any conflict; nothing in §4 restricts rights expressly granted to You by an applicable open-source licence. A list of bundled third-party components and their licences is available from the Vendor on request at legal@cdnglobal.eu. The Software also includes the IP to City Lite database by DB-IP, available from https://db-ip.com, licensed under the Creative Commons Attribution 4.0 International License (CC BY 4.0). If You configure the Software with your own MaxMind account, the GeoLite2 data the Software then downloads is provided to You by MaxMind under your own agreement with MaxMind and is not supplied or licensed by the Vendor.
3.5 High-risk use. The Software is a network-monitoring and observability tool. It is not designed, certified, or licensed for use as a safety component or as the primary means of control, alarm, or fail-safe in environments where failure could lead to death, personal injury, or severe physical or environmental damage (including medical life-support, air-traffic control, industrial safety-instrumented systems, and nuclear facilities). You must not rely on the Software as the sole mechanism for detecting or responding to conditions in such environments and will maintain independent safety monitoring where required.
4.1 You must not, and must not permit anyone else to: (a) copy the Software except as reasonably necessary to run and back up your licensed Instances; (b) modify, adapt, or create derivative works of the Software; (c) distribute, sell, rent, lease, sublicense, or provide the Software to third parties as a hosted or managed service, except that You may operate it on behalf of your Affiliates under §3.1; (d) reverse engineer, decompile, or disassemble the Software except to the extent a mandatory law (including Art. 6 of Directive 2009/24/EC) permits it despite this restriction; (e) remove or alter proprietary notices, licence checks, or watermarks; (f) circumvent or tamper with licence enforcement, activation, integrity verification, or usage limits; or (g) use the Software to monitor, probe, scan, or access networks, systems, or data without lawful authority.
4.2 Integrity enforcement (disclosed technical measures). The Software verifies its own code integrity against a signed manifest and reports an integrity signal to the license server (§7.1). Tampering with the Software or its licence-enforcement controls is recorded as an integrity strike against your licence; an installation accumulating three or more strikes is technically blocked until reviewed by the Vendor, and a locally detected tamper condition causes the installation to degrade and, after repeated detections, refuse new requests. These technical measures are in addition to, and evidence for, the Vendor's contractual remedies for breach of this §4. Human review of any block is available via support@cdnglobal.eu.
4.3 Verification. No more than once in any twelve-month period, and on at least thirty (30) days' written notice, the Vendor may require You to certify in writing, or to demonstrate using the Software's built-in licence and device reports, your compliance with the licence limits in §3. Any verification is limited to licence-relevant records, conducted during business hours, subject to your reasonable security policies, and at the Vendor's cost. If verification reveals use exceeding your licensed limits by more than five percent (5%), You will promptly purchase the required upgrade at the then-current price for the period of excess use.
5.1 Fees and payment. Fees are stated in EUR at the prices shown at checkout or in your Order. Self-service billing is processed by Stripe (§7.4); invoiced (enterprise) accounts pay within the period stated on the invoice. Overdue invoiced amounts bear statutory late-payment interest under Directive 2011/7/EU as implemented in Portugal. An unjustified chargeback constitutes non-payment under §12.3. Fees are exclusive of VAT and similar taxes, which are added where applicable.
5.2 Trial. The Trial is a free, self-service evaluation licence of fourteen (14) days, limited to one Trial per installation environment (as identified by the hardware fingerprint, §7.1) — one Trial ever per environment; expired or revoked Trials are not renewed or reset. The Trial is provided AS IS: the warranty in §9.1 and the support commitments in §6.2 do not apply to Trial use, and the Vendor's aggregate liability for Trial use is limited to EUR 100, subject always to §10.2. Trials expire automatically; data created during a Trial remains in your installation and becomes fully usable on conversion to a paid Plan. The Vendor may modify or withdraw the Trial programme at any time for future trials.
5.3 Subscription term and auto-renewal. Subscriptions run monthly or yearly and renew automatically for the same period unless cancelled via the customer portal at least seven (7) days before renewal. The Vendor will send a renewal reminder to the account email at least fifteen (15) days before each yearly renewal. Where You contract as a consumer, mandatory rules of your country of residence on contract duration, renewal reminders, and termination prevail over this §5.3.
5.4 Price changes. Price changes take effect only at renewal and only if announced to the account email at least thirty (30) days before the renewal date. If the Vendor announces a price increase applicable to your renewal, You may cancel with effect from the renewal date at any time before that date, notwithstanding the seven-day cut-off in §5.3.
5.5 Refunds. Except as stated in this Agreement (including §9.1 remedy, §12.2, and §12.4) or required by mandatory law, fees are non-refundable once the licence is activated: the free Trial exists so that You can evaluate the Software before paying. Enterprise refund terms, if different, are stated in the applicable Order or master agreement.
5.6 Consumer withdrawal right. If You are a consumer in the EU/EEA, You have a statutory right to withdraw from the purchase within fourteen (14) days without giving reasons. By requesting activation of the licence before the end of the withdrawal period You expressly consent to immediate performance and acknowledge that You thereby lose the right of withdrawal (Art. 16(m) of Directive 2011/83/EU). Your statutory guarantee rights (§9.4) remain unaffected.
6.1 Updates. The Vendor makes updates available through the update channels (stable and edge). You control when updates are applied to your installation; updates are operator-initiated, never applied automatically by the Vendor. Release manifests are cryptographically signed and verified by the Software before an update is applied. (a) Right to modify: the Vendor may modify the Software over the subscription term, including adding, altering, or discontinuing individual features, provided modifications do not materially reduce the core monitoring functionality of your purchased Plan during a paid term; where they do, You may terminate the affected subscription and receive a pro-rata refund of prepaid fees for the unused term. (b) Security updates: the Vendor will make security updates available for the current stable release, without additional charge, for the duration of your subscription. Only the most recent stable release is supported; You are responsible for applying updates, and the warranty in §9 does not cover defects resolved in an update You have declined to apply. (c) Edge channel: builds published on the edge channel are pre-release software, provided AS IS, excluded from the §9.1 warranty, and not recommended for production. (d) Your procedures: before applying any update You should complete a backup of your databases and configuration (the built-in updater takes a database backup by default). Installing an older version over a newer database schema (downgrade) is unsupported and may render the installation inoperable; the §9.1 warranty does not cover damage resulting from downgrades or update procedures performed contrary to the Documentation.
6.2 Support. Support is provided per Plan as advertised at purchase. Support covers diagnosis of reproducible defects in unmodified, currently supported versions of the Software running in a documented configuration. Support does not cover: your infrastructure, network, or third-party products; installations modified in breach of §4; versions superseded for more than six (6) months; or training and professional services. Business hours are 09:00–17:00 WET/WEST, Monday–Friday, excluding Portuguese public holidays. The Vendor will not materially reduce the support level of your Plan during a paid term.
6.3 AI features. Certain features use large language models ("AI Features"). (a) Bring-your-own provider: AI Features operate only against an AI provider endpoint and API key that You configure; that provider is your own contractor, its terms and pricing govern your use of it, and You are responsible for all provider fees and for ensuring that data transmitted to it may lawfully be shared with it. Data sent to your configured provider may include device names, metrics, log excerpts, and alert/incident content, and some AI analyses run on a schedule; the in-product AI governance panel describes the categories sent and the available controls (including disabling AI Features entirely and the syslog AI input filter). The Vendor is not a party to, and has no liability under, your AI-provider agreement. (b) Output disclaimer: AI-generated output is probabilistic and may be inaccurate, incomplete, or unsuitable; it is provided for informational purposes only and must be reviewed by a qualified person before being relied upon for operational, security, or compliance decisions. The warranty in §9.1 does not apply to AI output. (c) No core monitoring function depends on AI Features.
6.4 License server; offline operation; continuity. Activation, entitlement checks, and updates depend on the Vendor-operated license server. (a) A validated activation continues to operate for at least seven (7) days without contact to the license server; temporary unreachability of the license server does not suspend your licence. (b) The Vendor operates the license server with commercially reasonable availability. (c) Air-gapped installations may activate via a Vendor-signed offline activation payload; all licence terms apply equally to offline activations, and no telemetry is transmitted in air-gapped mode. (d) If the Vendor permanently discontinues the license server or ceases business, the Vendor will, before discontinuation, issue offline activation payloads covering the remainder of paid subscription terms.
7.1 What the Software transmits to the Vendor. The Software communicates with the license server as follows, and only as follows: (a) at activation: the licence key, a one-way hardware fingerprint (a SHA-256 hash derived from the host machine-id, an installation UUID, and the primary MAC address — the underlying identifiers never leave your host), the product version, and the accepted EULA version; (b) on each heartbeat (approximately every six hours): the licence key, the hardware fingerprint, the product version, the running container-image digest, and a code-integrity manifest hash; (c) on update polls (approximately hourly): the licence key, fingerprint, and current version; (d) if You purchase or manage billing: the data described in the Privacy Policy. Customer Data is never transmitted to the Vendor.
7.2 Change control. The Vendor will not expand the categories of data transmitted to the license server beyond those listed in §7.1 except via a versioned update to this Agreement under §14.7 or with your separate opt-in consent. Retention periods are stated in the Privacy Policy.
7.3 Roles. For personal data processed by the license server, customer portal, and billing (as described in the Privacy Policy), the Vendor acts as an independent controller. For Customer Data, You (or your organisation) are the controller: the Software operates entirely within your installation, the Vendor has no access to Customer Data, and the Vendor is therefore neither a controller nor a processor of it. No data processing agreement (Art. 28 GDPR) is required for the ordinary operation of the Software. If, at your request, the Vendor processes personal data contained in support materials You provide, the parties will handle it per the Privacy Policy, and on request the Vendor will execute its standard data-processing terms for support materials (privacy@cdnglobal.eu).
7.4 Billing processor. Payments are processed by Stripe as described in the Privacy Policy; full card details never touch the Vendor's servers.
Each party will protect the other party's Confidential Information with at least reasonable care, use it only to perform this Agreement, and disclose it only to employees, contractors, and professional advisers bound by comparable obligations. Confidential Information excludes information that is or becomes public without breach, was lawfully known before disclosure, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information where required by law or court order, giving prompt notice where lawful. For the Vendor, Confidential Information includes the Software's non-public internals and the licence-server protocol; for the Customer, it includes network configurations, credentials, logs, and other material shared with the Vendor for support. These obligations survive for five (5) years after termination and, for trade secrets, for as long as they remain trade secrets.
9.1 Limited warranty and remedy. The Vendor warrants that, during the subscription term, the Software will materially conform to the Documentation when run in a documented configuration. If the Software materially fails to conform and You notify the Vendor within thirty (30) days of discovering the non-conformity, the Vendor will, at its option, repair the non-conformity, provide a workaround, or replace the affected component; if the Vendor fails to do so within a reasonable period after written notice, You may terminate the affected subscription and receive a pro-rata refund of prepaid fees for the unused term. To the maximum extent permitted by law, this is your exclusive remedy for breach of this warranty.
9.2 Exclusions. The warranty in §9.1 does not cover: Trial use (§5.2); edge-channel builds (§6.1(c)); AI output (§6.3); defects caused by modification, misuse, or use contrary to the Documentation; defects resolved in an update You have declined to apply; or downgrades (§6.1(d)).
9.3 Disclaimer. Except as expressly stated in §9.1, and to the maximum extent permitted by applicable law, the Software is provided "AS IS" and the Vendor disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement (without prejudice to §11.1). The Vendor does not warrant uninterrupted or error-free operation.
9.4 Mandatory rights. Statutory rights that cannot be limited — including, where You contract as a consumer, your conformity rights under Directive (EU) 2019/770 as implemented in your country of residence — remain unaffected by §§9.1–9.3.
10.1 Cap. Subject to §10.2, each party's aggregate liability arising out of or in connection with this Agreement is limited to the fees paid or payable by You in the twelve (12) months preceding the event giving rise to the claim, and neither party is liable for indirect or consequential damages, loss of profits, loss of revenue, or loss of goodwill.
10.2 Carve-outs. The limitations in §10.1 do not apply to: (a) liability for intent or gross negligence; (b) death or personal injury; (c) fraud or fraudulent misrepresentation; (d) liability under mandatory product-liability law; (e) the indemnification obligations in §11; or (f) breaches of data-protection law attributable to the liable party. For slightly negligent breach of an obligation whose fulfilment is essential to the proper performance of this Agreement and on which the other party regularly relies (a cardinal obligation), liability is not excluded but is limited to the foreseeable damage typical for this type of contract, and the cap in §10.1 applies. Liability for loss of data is limited to the cost of restoration that would have been incurred had regular, risk-appropriate backups been performed.
10.3 Basis of the bargain. The fees reflect this allocation of risk.
11.1 By the Vendor (IP). The Vendor will defend You against third-party claims that the Software, as delivered and used in accordance with this Agreement, infringes an EU/EEA patent, copyright, or trademark, and will pay the resulting damages finally awarded or agreed in settlement, provided You promptly notify the Vendor, grant it sole control of the defence, and reasonably cooperate. If such a claim arises or is likely, the Vendor may procure the right to continue use, modify or replace the Software, or terminate the licence and refund prepaid fees for the unused term. This §11.1 is your exclusive remedy for IP infringement. It does not apply to claims arising from modifications not made by the Vendor, combination with items not provided by the Vendor, or use in breach of this Agreement.
11.2 By the Customer. You will defend and indemnify the Vendor against third-party claims arising from (a) your use of the Software to access, monitor, scan, or ingest data from networks, systems, or persons without lawful authority, or (b) Customer Data or credentials You configure in the Software.
12.1 Term. This Agreement runs for the duration of your subscription (including renewals) and, for perpetual or air-gapped grants, for the period stated in your Order.
12.2 Termination for cause. Either party may terminate this Agreement for the other party's material breach that remains uncured thirty (30) days after written notice describing the breach (fourteen (14) days for non-payment). If You terminate for the Vendor's uncured material breach, or if the Vendor terminates other than for your breach, the Vendor will refund prepaid fees pro-rated for the unused portion of the term.
12.3 Suspension; revocation. The Vendor may suspend licensed functionality during a material, ongoing breach of §4 or non-payment, lifting the suspension promptly once the breach is remedied, and may revoke the licence on termination for your uncured material breach.
12.4 Effect of expiry or termination; your data. On expiry or revocation, licensed functionality is disabled after a grace period of at least three (3) days from the first failed entitlement check; the Software does not delete anything. All Customer Data remains stored within your own installation and remains yours (§3.3): nothing in this Agreement prevents You from accessing your own databases and files directly, exporting your data, or restoring your backups at any time, before or after termination. You must cease using licensed functionality and, within thirty (30) days after the end of any data-retrieval activities, uninstall the Software — except that, where the Vendor terminated other than for your breach, You may complete your current paid term first.
12.5 Survival. §§2, 3.2–3.5, 4, 7, 8, 9.3–9.4, 10, 11, 12.4–12.5, 13, 14, and 15 survive termination.
13.1 This Agreement is governed by the laws of Portugal, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of the Vendor's registered seat in Portugal have exclusive jurisdiction for business customers.
13.2 If You contract as a consumer, this choice of law does not deprive You of the protection of mandatory provisions of the law of your country of habitual residence, and You may bring or defend proceedings in the courts of that country. Consumers in Portugal may also use the certified consumer alternative-dispute-resolution entities listed at https://www.consumidor.gov.pt.
14.1 Assignment. Neither party may assign this Agreement without the other's consent, except to an Affiliate or to a successor in a merger, acquisition, or sale of substantially all assets, on written notice.
14.2 Notices. Legal notices to the Vendor must be sent by email to legal@cdnglobal.eu and, for notices of breach, termination, or claims, also by registered post to the address in §15. Notices to You go to your account email. Notices are deemed received: email — the next business day after transmission absent a bounce; registered post — on the documented delivery date.
14.3 Order of precedence. In the event of conflict, the following order applies: (1) a signed master or enterprise agreement; (2) the applicable Order; (3) this Agreement; (4) the Documentation and referenced policies. The Privacy Policy governs personal-data matters notwithstanding the foregoing.
14.4 Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remainder stays in force; the parties will replace the invalid provision with a valid one coming closest to its economic intent.
14.5 Force majeure. Neither party is liable for failure to perform (other than payment obligations for services already delivered) caused by events beyond its reasonable control. The affected party will promptly notify the other and mitigate. If a force-majeure event prevents material performance for more than sixty (60) consecutive days, either party may terminate the affected subscription on written notice, with a pro-rata refund of prepaid, undelivered fees.
14.6 Export and sanctions. The Software may be subject to EU, UN, and other applicable export-control and sanctions laws. You represent that You are not listed on any applicable sanctions list, are not located in or acquiring the Software for a country or territory subject to comprehensive sanctions where such acquisition is prohibited, and will not use the Software for unlawful interception or surveillance of communications. The Vendor may suspend or terminate the licence, without liability, where continued performance would violate applicable sanctions.
14.7 Changes to this Agreement. Material changes take effect only upon your acceptance via the re-acceptance prompt at the next activation (or, for air-gapped installs, upon installation of an updated payload). If You do not accept a materially changed version, the version You last accepted continues to govern for the remainder of your current paid term; the Vendor may condition renewal on acceptance of the then-current version. Non-material changes (clarifications, typo fixes, changes required by law) may take effect on thirty (30) days' notice to your account email.
14.8 Publicity. Neither party may use the other party's name or logo in marketing materials without prior written consent, revocable at any time.
14.9 Entire agreement. This Agreement, the documents referenced in §14.3, and the Privacy Policy are the entire agreement about the Software and supersede prior discussions.
14.10 Language. This Agreement is executed in English. Translations are provided for convenience; in the event of any conflict, the English version prevails to the extent permitted by applicable law. Where mandatory law of your jurisdiction requires a local-language version to control for You, that requirement is unaffected.
The Vendor is CDNCORE, LDA (trading as "cdnCore"), a private limited company (sociedade por quotas) incorporated in Portugal, registered with the Portuguese Commercial Registry under NIPC 518440826 (VAT PT518440826), with registered office at Parkurbis, Parque de Ciência e Tecnologia da Covilhã, 6200-865 Covilhã, Portugal — operating the AtlasEye product and the license service under the domain cdnglobal.eu.
